Thank you for selecting services offered by mSIGNIA Inc. (“mSIGNIA“). Review these Terms of Service (“Terms“) thoroughly. The Terms described below are a legal agreement between you and mSIGNIA which governs your use of the online services and documentation available to you from mSIGNIA, including content, updates and new releases, (collectively, “Services“). By accepting electronically (for example, clicking “I Agree”), installing, accessing, or using the Services, you agree to the Terms. If you do not agree to the Terms, then you may not use the Services.
Services may periodically be updated with tools, utilities, improvements, third party applications, or general updates to improve the Services. You agree to receive these updates. These Terms include by reference:
- mSIGNIA’s Privacy Statement provided to you on the mSIGNIA website.
- An agreement and schedule provided separately to your administrative company which define the business and management terms for the Services (the “Agreement”)
mSIGNIA reserves the right to modify the Terms, in mSIGNIA’s sole discretion, at any time. Such modifications may be posted through the Services, on mSIGNIA’s website for the Services, or when mSIGNIA notifies you by other means. It is important that you review the Terms whenever they are modified because your continued use of the Services indicates your agreement to the modifications.
- Responsibility for Content and Use of the Services
Content includes any data, information, materials, text, graphics, images, software, or works of authorship of any kind, that are uploaded, transmitted, posted, generated, stored, or otherwise made available through the Services (“Content“), which will include without limitation any Content that account holders (including you) provide through your use of the Services. By making your Content available through your use of the Services, you grant mSIGNIA a worldwide, royalty-free, non-exclusive license to host and use your Content.
You acknowledge that the Service is not intended for permanent storage and agree not to use the Service for general archiving or back-up purposes. You also agree not to store critical data on the Service. Archive your Content frequently. You are responsible for any lost or unrecoverable Content. mSIGNIA is not responsible for any of your Content or data that you submit through the Services.
You shall be solely responsible for ensuring (i) no personal identifiable information, as defined by local and international law, (“PII”), and (ii) no valid payment card primary account numbers (each a “PAN”) are entered into the Services. Notwithstanding anything to the contrary, User assumes all liability for any PII or PANs they enter into the Services.
- Users
Users of the service may be referred to in the Terms as “you“, “your“, or “User“. All Users will be required to accept the Terms before accessing the Services. As a User of the Services you access, unless otherwise explicitly stated in the Terms, you agree to all Terms each time you access the Services. Please make sure that you have an agreement with your administrator (“Administrator”, defined in the Agreement) about your rights and responsibilities. Your Administrator will provide notice to you before terminating your access to the Services. A violation of Terms by a User or use exceeding the Usage Limits (as defined below) may result in suspension or permanent termination of the User’s access to the Services without notice.
Users are identified by their email address (their “Username”). Using the email address your Administrator entered, Services will send new Users an email requesting the new User to login and create their password. To access the Service, Users will be required to log onto the Service using their Username and a password they create. The Service will only allow one login instance for a particular Username; multiple users attempting to concurrently log in using the same Username is not permitted. Users are responsible for securely managing their password for the Services and to contact their Administrator if any User becomes aware of any unauthorized access to their account. Depending on the types of access rights granted to you, Users may be able to delete, copy, or view the Content and data accessible in your account.
- Services Description
mSIGNIA agrees to provide a Payment Simulator (“PaySim”, the Services as defined below), which contain proprietary and, in features not specified by international standards, patented or patent pending code of mSIGNIA.
PaySim contains (i) an online merchant storefront (i.e., website and mobile apps for iOS and Android which include EMV 3DS SDKs (“SDKs”), (ii) an online merchant backend with functionality for online wallets and checkout, (iii) a EMV 3DS Server (“3DS Server”), (iv) an EMV 3DS Directory Service (“DS”), and (v) an EMV 3DS Access Control Server (“ACS”). The SDKs, 3DS Server, DS, and ACS are each a “3DS Product”.
PaySim supports EMV 3DS protocol communications including: (i) internal and consumer user interface flows with message logging for EMV 3DS specified flows such as frictionless and real-time challenge authentications processing as described in the EMV 3DS specification, (ii) decrypted, where applicable, display of the data exchanged in the EMV 3DS protocol payloads, and (iii) error handling for inconsistent data and erroneous responses.
Each 3DS transaction identifier, as defined in the EMV 3DS specification, exchanged between the 3DS Products within PaySim is a transaction (“PaySim Transaction”). For clarity, when a unique PaySim Transaction is exchanged between an SDK, 3DS Server, DS, and ACS, it is a single PaySim Transaction. Unless defined differently in the Agreement, any User of a Customer may perform a maximum of one thousand (1,000) PaySim Transactions per twenty-four hour period.
PaySim also supports EMV 3DS compliant extensions with customizable data exchanges which enable PSD2 SCA compliance.
3.1 PaySim Web Services. PaySim provides the following web services:
3.1.1 Test Merchant
- Merchant Commerce Server – reference web commerce server and related EMV 3DS Merchant back-end services (including a payment card wallet) for a fictitious merchant.
- Merchant Clients – reference website storefront and mobile app storefronts for iOS and Android mobile apps which include EMV 3DS SDKs. Merchant Client supports a simulated mobile in-app scenario via web-based iOS simulators and Android emulators.
3.1.2 Test 3DS Server – an EMV 3DS Server for communicating with an EMV 3DS DS
3.1.3 Test 3DS DS – an EMV 3DS DS for protocol communication with the EMV 3DS Server and EMV 3DS ACS.
3.1.4 Test 3DS ACS – an EMV 3DS ACS for protocol communication with the EMV 3DS DS and Merchant Clients. The ACS component can receive a pseudo-PAN and perform the related, specific action including frictionless, challenge, and requestor-initiated exchanges.
3.2 Substituting Test Products. Users can choose to test either against default 3DS Products or one or more 3DS Products added by their Administrator.
- Documentation
Documentation includes a guide for (i) selecting EMV 3DS and PSD2 SCA functionality (such as frictionless flow, challenge, SCA data extensions, etc.) controlled by the pseudo-PAN chosen by the User, and (ii) replacing default 3DS Products with a Test Product. Documentation details the specific format, expected response and error conditions possible for PaySim.
- Support
If Users cannot resolve a technical issue using Documentation and they believe the Service to be in error, the User should contact their Administrator using the support process defined by the Administrator.
- Ownership and Restrictions
As between User and mSIGNIA, mSIGNIA owns and shall retain all right, title and interest, including but not limited to all now known and hereafter existing copyrights, trademarks, trade secret rights, patent rights, and other intellectual and industrial property and proprietary rights to and under all the mSIGNIA Services, Documentation, and any improvements, modifications and derivatives thereof (collectively in whole or in part, “mSIGNIA Materials”). User will have no rights in the mSIGNIA Materials.
- Grants
Subject to these Terms and conditions of the Agreement, mSIGNIA hereby grants to Users during the term of the Agreement, and Users hereby accept the following grants:
- Services: a non-transferable, worldwide, revocable license allowing Users to access PaySim operated as an mSIGNIA online hosted service. A User may configure and view the actions and information managed by the PaySim through a web interface.
- Documentation: a non-transferable, worldwide, revocable license allowing PaySim Users to access and use the Documentation in connection with aforesaid use of the Service.
Except as expressly allowed in these Terms, User agrees, alone or through others, (i) not to reproduce, sell, lease, license nor sublicense, copy, transmit, disclose, divulge, nor make available to, nor permit use of the mSIGNIA Materials, (ii) not to decompile, disassemble, re-program, reverse engineer, circumvent nor disable any security nor other technological features or measures, nor otherwise attempt to derive nor modify the mSIGNIA Materials, (iii) not to write or develop any derivative software or any other software program based upon the mSIGNIA Materials, (iv) not to remove, alter, cover nor obfuscate any copyright notices or other proprietary rights notices of mSIGNIA or its licensors.
